The issues Mr. [redacted] raised
concern forms required by the State of California and the Internal Revenue
Service, specifically, CA Form 593-C and Affidavit of Non-Foreign Status and
items listed...

the Preliminary Report.  Old Republic Title has no opinion on
whether the manner in which Mr. [redacted] has completed Form 593-C and his
declination to execute the Affidavit of Non-Foreign State is consistent with
California and federal law.  However, Old Republic Title declines to serve
as escrow holder and as a Qualified Substitute for the buyers with regard to
withholding state and federal taxes based on the documentation submitted.  
 
               
Old Republic Title issued a Preliminary Report which is its offer of the terms
on which it is willing to issue a policy of title insurance to the buyers. 
By issuing the Preliminary Report, Old Republic Title did not undertake any
duty to determine whether the various matters identified are liens. 
The title search or examination was performed solely for the purpose of seeking
to evaluate Old Republic Title's underwriting decisions in issuing a
policy.  Mr. [redacted] does not believe various items listed as matters
to be excepted from coverage in the policy of title insurance contemplated for
issuance to the buyers are valid or properly recorded liens.  Old Republic
Title does not question the sincerity of his beliefs.  Nonetheless, the company will not issue a
policy of title insurance without exceptions for the purported liens, such as delinquent
property taxes, a deed of trust in favor of the City of South Lake Tahoe and
another in favor of El Dorado Savings Bank, unless releases from the
purportedly lien holders are obtained. Authorization
to pay property taxes, the City, and El Dorado Savings Bank has not been
provided.
