contract on 11/08/2014 that states: “For the retainer set forth, Seller will investigate various approaches and create a design for the PURCHASER based on their needs and desires within the available space and based on drawings and/or measurements provided by the PURCHASER. The design will include drawings and specifications as they pertain to cabinetry and components for the project. The drawings and specifications remain the property of SieMatic. THE RETAINER IS FOR VALUE and shall be applied against actual orders placed within six months of this agreement at the rate of 10% of the sale price and not to exceed the actual value of the initial retainer. If the total retainer is not fully applied to actual orders within the six months, the unapplied balance will be forfeited. The purchaser's agreement to this Retainer Agreement in no way binds the parties to the execution of the resulting project proposal.” Our [redacted] location did supply [redacted] with a floor plan, and elevation drawings in November of 2014. On site visits were also conducted. Almost two years later, on July 8, 2016 [redacted] reached out to Oleg T[redacted] at the [redacted] location to say she was not happy with the design, and requested her retainer back. Oleg T[redacted] responded on July 9, 2016, saying his colleague could redesign the kitchen if she was not happy with his design and wished to work with someone else, but that the retainer wasn’t refundable. He also offered an extension of 2014 pricing for her kitchen order although 2 separate price increases have occurred since beginning her project. [redacted] responded the same day to say she didn’t want Amy (Oleg’s colleague) to do the design, but wanted her money back. [redacted] received the design drawings and specifications as per the Retainer Contract. The contract clearly states:” If the total retainer is not fully applied to actual orders within six months, the unapplied balance will be forfeited” Oleg was still willing to work with her 2 years later, but she is choosing not to.
