Style', serif">SBMC and Validation Plus (*** ***’s company) signed an initial retainer agreement dated August **, (the “Initial Retainer”) which required Validation Plus to pay a $25,retainer to SBMC. Pursuant to the Initial Retainer, SBMC agreed to return the $25,payment if SBMC “does not deliver $ 2,000,within months.” SBMC has already advised *** *** that it agrees to return the $25,retainer payment as it was unable to meet the month time requirement
SBMC and Validation Plus signed a second agreement amending the Initial Retainer (the “Amendment”) on December **, 2013. Pursuant to the Amendment, Validation Plus paid to SBMC $45,to be used toward expenses related to SBMC’s efforts to obtain funding for Validation Plus. It was agreed that in the event SBMC could not obtain funding for Validation Plus in the amount of $7,000,by the date set forth in the Initial Retainer, SBMC would retain the S45,paid to the extent SBMC could provide proof that the amount retained represented “expenses associated with obtaining financing….”
SBMC has expended more than the $72,that was paid by Validation Plus in its efforts to obtain financing for Validation Plus. Per the Amendment, SBMC is entitled to retain the payment of $45,000. However, in good faith, SBMC advised *** *** that it will retain only $22,and will return $50,000. Review: [redacted] signed a contract with Validation Plus, Inc. to obtain >= $7 million dollars in funding. Validation Plus paid [redacted] the following for the service that was not provided and has not returned the funds:
