Review: I keep getting bills from this company and have never worked with them. I have contacted them several times over the past year but they keep sending me a bill. I have called and wasted my time sending letters telling them not to send me any information but they still do. Review: This is in reference to the collection notice dated 02/03/14 for invoice [redacted] issued by M[redacted] A company devoted to collections. The letter states that Best Security voluntarily contracted this service. If so, please provide a written contract with authorized signature(s). On the contrary we did not request this service. An agent from Corporation Service was informed that Best Security was being represented by CT Corporation and did not require additional representation , to discontinue solicitation and furthermore to remove [redacted] from their system. Despite several calls made to Corporation Service to dispute the charge the past due notices persisted. CSC's practice of coercion so companies can utilize their service is illicit and numerous attempts were made to rectify this issue but to no avail. To reiterate - [redacted] is not liable for the $235.00 as this service was not contracted. In conclusion, please govern yourself accordingly.Thank you for your co-operation.Desired Settlement: Retract the collection notice and CSC remove [redacted] from their system.

[redacted] Acquisition, LLC is domestic in Delaware and qualified in California. We are not agent in Delaware but are in California (see attached). Our services were requested on May 2012 to assist with the qualification which included our services as agent within California. The invoice in question, was due by May 2013 for services until May 2014, no payment has been received. The agent information is required by California on the statement of information which is filed yearly. No change has been recorded by the state removing CSC as the agent and appointing a new agent within the state.

CSC continues to bill us for Corporate registration services 3 years after we terminated them and went to a competitor firm. We have had no less than 10 communications with them (email, letter, telephone) and they still haven't resolved. Last year, 2014 we hired an attorney to handle this and CSC confirmed that they no longer represent us. Yesterday, I received ANOTHER billing from CSC. We now inform other businesses NOT to use CSC for registration services (and we never provide unsolicited advice to other companies for services - CSC is now the exception).

Review: Corporation Service Company was used to register one of my LLC’s on June 26th of 2012. My initial contract was for the ‘Essential LLC Package’ which included, among other things, a registered agent service for 12 months (expiring in June of 2013). In return, I agreed to pay $296.95 for this service. This amount was paid in full on June 26th 2012. During the initial year of service, my company never got off of the ground.

A few months prior to the expiration of my registered agent service, I got a renewal statement from Corporation Services Company for a second year of registered agent service. Upon receipt of this statement, I called to cancel the service. Despite my phone call, I continued to get renewal statements. Once the new billing year started (July 2013) and I saw that I was actually being charged for another year of service, I called once again to cancel.

Corporation Service Company refused to cancel my registered agent service and I made it know at that time that I was not going to pay for a service that I had no need for or intention of using. Over the next several months, statements kept coming and I repetitively called to argue with customer service over this matter.

When I purchased the 'Essential LLC Package' through Corporation Service Company, despite residing in Illinois, I was persuaded to buy a Delaware LLC because of the tax benefits for internet based businesses. This was a huge mistake because it put me at the mercy of the company's registered agent services. In order to dissolve the business, I had one of two choices. The first option was to pay Delaware state taxes and fees in addition to more service fees form Corporation Services Company. The second option, the option that the Delaware Division of Corporations recommended, was to not pay the state tax and the business would eventually fall out of good standing with the state and be dissolved.

I notified the Corporation Service Company of my intent to fall out of good standing with the state. They told me that they could not cancel my service unless I changed my registered agent. The catch is that in order to change the registered agent, you have to be able to file those papers with Delaware. Because I am in Illinois and not in Delaware I had no way to change the registered agent while allowing my company to fall out of good standing with the state.

I have no intention of paying this fraudulently claimed ‘debt’ as Corporation Service Company has demonstrated to rely on deception and dishonesty as a business model. I requested that the service be canceled prior to any rendered services. A business cannot force you to renew a contract that has expired. If I continue to receive further collection notices on this matter they will be directed to my lawyer.Desired Settlement: Corporation Services Company should retract the 'debt' that they insist that I owe. Furthermore, Corporation Services Company should send a letter of apology to me for the deceptive nature in which they sold the Delaware LLC service back in 2012 and for all of the hassle that I have incurred in trying to resolve this issue. I would also ask that a change be made in their sales practice when selling LLC's with registered agent services. Customers should be notified of the complexities of canceling registered agent services in cases where the business has gone under and the state the LLC is registered in is not the customers home state.
