On or about November 4, 2019, *** as president of *** fired Verma CPA and Associates. Any outstanding bills to Verma CPA were paid in full. After months of repeated demands for Kamal V and/or his firm to turn over the password to ***'s *** password-protected file, he has intentionally and willfully failed and refused to provide this password. As a result, *** cannot access its property for which it paid, in order to, among other things, accurately report and pay its quarterly taxes. While *** has possession of the file, it is PASSWORD PROTECTED, and therefore, without the password, they cannot access it. Demands have been made both in writing and verbally since November 4, 2019, the latest written demand having been made on January 14, 2020. Verma CPA has also failed to pay taxes on time which has resulted in thousands of dollars of penalties. A report has also been filed with the Loudoun County Sheriff's Department.

Here is our reply to your letter: 1. We were hired to provide bookkeeping services to the above mentioned client during the year 2012 to 2019 (8 years)2. We completed the work as per our agreement and provided all the necessary accounting reports including, General Ledger, Profit and Loss and Balance Sheet to client in various formats and patterns including pdf and *** formats as requested by client. That marked the completion of requested services from our side.3. *** never paid or reimbursed us any software license fee for ***s software for any of these years.4. Verma CPA paid an annual fee of $350 each year to the ***s company (***) for the license fee and we accordingly reserve the right to the software file.5. *** does not have any right to the software file for which they never paid any license fee.6. *** has right to the data related to accounting work that we did and we already provided all of the said data to them up to their requests and satisfaction. If *** is keen on having the right to the software file, then, *** will need to reimburse us the license fee that we had to pay to *** company for the ***s Software license for all these year. We just sent an invoice of $350 x 8 years = $2,800 to *** with copy to you for the reimbursement of the same. And as soon as *** will pay that invoice, we will be happy to hand over the rights of software file along with related passwords to ***.

I am rejecting this response because:Mr. Verma did not provide the requested documentation in its entirety. We requested financial records that Mr. Verma had previously agreed to provide to us upon completion of his services. As detailed in the attached emails, Mr. Verma agreed to provide a detailed copy of our business records to us as contained in ***s. In fact, Mr. Verma even sent the *** file documents as agreed upon, but then refused to provide the password in which to open the documents. He then promised in subsequent e-mails to send the password. Never once in seven (7) years was there a single mention, invoice, or documentation of charges for the use of ***s. The ***s software may be registered to Mr. Verma, but the accounting details and a copy of our records legally belong to us as a result of our payment of all monthly invoices for the past seven (7) years. Mr. Verma was paid in full for his services, and we expect him to provide us a copy of our financial details, as initially agreed upon. Withholding these documents is a criminal offense. Arguably, producing a contrived invoice for $2800.00 in exchange for information for which we already unequivocally are entitled, is extortion. Mr. Verma even admits that this is the first time he has ever invoiced TML, and the bill speaks for itself, as the fees are retroactive to 2012.

Secondly, in 7 years of business, Mr. Verma never once mentioned, invoiced, or charged *** for the cost/use of his ***s. As a registered CPA, the annual cost of ***s is an expected expense of Mr. Verma's business, and upon inspection of his tax records, I guarantee that Mr. Verma has written-off said expense as a business deduction each year. Moreover, is Mr. Verma charging each of his clients $350 per year for use of the same software? That billing practice would be suspect, at best. In addition, in the event Mr. Verma charges other clients for the use of ***s, presumably it would be included as a specific charge set forth in his retention letter or bills of service. Noticeably absent from any of our bills over the past 7 years is a charge for ***s. The last minute attempt to extort the cost of the *** program which is used for hundreds of his clients along with TML, is outrageous.

Third, *** hired Mr. Verma for the use of his services. If *** was required to purchase ***s, there would be no need to hire Mr. Verma for his services in the first instance.

Mr. Verma’s response is an attempt to extort fees for information TML already paid for. Simply stated, his refusal to provide the details of financial records that are rightfully and legally ours is unprofessional and is tantamount to larceny, which is a criminal offense. We demand that Mr. Verma release the password, else we will pursue all available rights and remedies. Of course, we would prefer to settle this amicably, but the creation of a fictitious $2800 bill by Mr. Verma in exchange for a password for information we paid for is a non-starter.

(Seems like *** missed to file those reports as she has been in charge of payroll. Luckily Rosie still has the access to payroll. So, we are attaching those ***s in this email. Please just sign and mail them to IRS at following address):

Department of the Treasury Internal Revenue Service Kansas City, MO 64999-0005 4. VEC payment from July - *** has contacted *** and they will not allow us to make the payment online, even though it is “available” online. She has tried numerous times to reach the VEC office directly and is always told to leave a voicemail but then the voicemail box is full. Please advise as to how to pay this so that Q2 can be completed asap.

(That’s exactly we go through on our side when handling back taxes and did not bill those hours to ***. Anyway, for you convenience, we have taken care of this completely by e-filing and paying the VEC for Q2 2019. This is the one that was due to be paid in July. See attached. Tax of $163.85 has been pad with this efile. A copy of Q1 VEC report already efiled earlier is also attached for your record.)

Additionally, please find attached a copy of tax returns for the tax years 2017 and 2018 for *** for your record.

This email will conclude the transition and delivery of all requested records to ***. You can now go ahead and remove Rosie as a user from your payroll account.

To work on any further requests we will need to bill our time at our present standard hourly rate of $250 per hour payable before the delivery of such deliverables.

Here is the reply to your various questions:

1.*** has contacted *** regarding the UI payment for Q2, and they were of no help at all. She was told that she cannot process the payment online (even though it gives us the option), and since we do not have a paper coupon corresponding to this payment, we are unsure of how to proceed from here.Please advise how best to take care of this so that it is processed correctly. *** was not helpful.

(I am not sure on this as I do not have access to your payroll account anymore. If those need to be filed manually then it needs to be taken care on your side.)

2. Have Q2 & Q3 *** forms been filed? (That is a question for *** I think. We do not have access to your payroll anymore)

3. We are receiving penalties from the Commonwealth of Virginia and need to pay them.Can you please provide our account passwords for any of our online accounts (IRS, VA State, etc…) so that *** can pay them now. (The passwords that we have on record are attached here in this email.)

4. Has the filing error from 2015 been corrected (there was a tax payment that should have had the filing date of 2015, but it was filed accidentally for 2019)?

(Yes, Please see my last email, I attached a copy of amended 2015 Q3 Sales tax report showing correct period. Attached in this email also for your reference.)

5. We just received notification that there was an outstanding balance on our VA tax account. As a result, they applied $55.82 from our Jan-Dec 2011 tax refund. I had no knowledge of a tax refund owed to us since this was so far back. Since this is the case, what was the total amount of the refund and should we be expecting a check from them?

(I highly doubt that there should be any refund, it’s probably just a timing difference on IRS side to match payment to the correct report and IRS generally does that with many taxpayers.)

As far as late fee filings, we did send information for filings as requested in a timely fashion and some of the filings were late on your end which incurred late fees. We both share responsibility in the late filings however, we will cut your final payment for $650 on Nov 7th.(I am sorry but I strongly disagree with you here. There have been numerous times when due to cash crunch payments did not go to IRS/state and that specially happened around the time when Leanne was about to leave till couple of months after she left and everything got messed up on payroll side. Unless you pay tax on time, *** system does not allow you to file the payroll report and that gets delayed also.)

Please let me know when all of the filings have been completed and kindly send along all log in information as well since we need to pay penalties (see no 3)

(There is no filing activity happening on our side now anymore. Passwords related files are attached in this email. If any of those passwords will not work then we have no control on that. The copy of those old ***s based on our last meeting were already mailed out to IRS per your request.)

Additional notes:

If you have a latest loan statement then we can true up the balance in books based on that. That is a very small adjustment. But other than that we are done with books up to 09-30-2019.

Please let us know one consolidated list of reports that you would need so that we may send over those to you and with that we will close the window on this transition.

Your email is pretty offensive to be very frank. But since you have started it, here is our reply.

1. An accountant is not required to provide any software data files at all to the client but we agreed to do so because of the good relation with *** and now, in light of your communication manner we would like to revoke that promise. We can provide accounting reports if you would nicely request for any specific reports but not the software data file. We never billed for the software license fee ever to ***. So please let us know what exact reports you would like to receive from our side.

2. We are doing bookkeeping based on the information provided to us and we have been doing reasonable follow up with you since the day you are on board and having difficulties in getting information on time resulting in delays on bookkeeping and sales tax filings. It is always client’s duty to provide complete and accurate information on time in terms of bank statements, logins, updated passwords, sales reports, payroll reports, loan statements or credit card statements to enable accountant to perform the bookkeeping work on time.

3. We are not running payroll services for *** so, we are not responsible to file the related payroll reports at all. But as a courtesy we helped on filing all those pending reports and did not even bill/charge a single dollar on our invoice for that to *** ever because of good relation with ***. We did spend hours and hours to provide that help as and when needed and as an employer I did pay to my employees for those hours in spite of no charges being billed to our customer ***.

4. Regarding Q3 2015 Sales tax report we have filed an amended *** and a confirmation is attached in this email for your record. No tax is due with this report.

5. We will not release any further information until full payment of our pending invoices totaling to $650.

*** and I have discussed the transfer of our information at great lengths. Please see below.

1. I will be completely transparent - I am extremely frustrated right now as to how this transfer of information has been handled. First, we were told that Q3 would be completed by the 15th, and that was not the case. I sent Rosie everything that was required on October 3rd, allowing for plenty of time for Q3 taxes to be completed. The next communication was almost 2 weeks later when I was asked to send the documents for June. So, my assumption is that your office just recently realized that we were missing the June documents and Q2 was filed in October?

2. Additionally, Rosie advised that Q3 could not be completed because you did not have statements for our bank loan. I was working with the bank last week to obtain those statements, as they are not available online. I received them on Friday and was planning to send them to you. But now, based on your last email, you do not need those documents, as you have completed Q3 without them?

3. We need verification that the tax filing error from 2015 has been corrected. (The one that was filed with the date of 2019 but was meant to be for 2015.)

4. Yes, there has been transition on our end, and I will take full responsibility for the late fees/penalties regarding payroll taxes. However, for the last year, we have paid numerous late fees and penalties for late filings, adjustments, etc..... We have had to pay those out of our pocket, when in all honesty, it should have been paid for by your office, not us. This is unacceptable, and we are tired of bleeding money unnecessarily. In the last 6 months alone, we have been penalized $125.00 in total of late fees, penalties, interest, etc… (including $40 which dates back to 2015). We will be deducting this amount from the final payment.

5. As you can see from above, there are still things that are either outstanding or have not been confirmed to us as completed as of yet. The final payment ($525.00) will be given once this transfer is provided, complete, and accurate, and all account passwords have been provided to us.
